Terms of Service

Last Updated: April 9, 2026

This page contains the Arcus Foundry Product License & Service Terms and the Data Processing Agreement. These documents govern your use of Arcus Foundry products and services, including the Sparkforge platform, Sparksight, Sales Crusher, Sparkbase, and other commercial products produced by Arcus Foundry LLC.

Product License & Service Terms

These Product License & Service Terms ("License Terms") govern your right to access and use Arcus Foundry products and services that are licensed and activated through the Arcus Foundry Activations system ("Activations"), including but not limited to Sparkforge, Sparksight, Sales Crusher, Sparkbase, and other commercial products produced by Arcus Foundry LLC ("Arcus Foundry") (each, a "Product").

By purchasing, activating, or using any Product, you agree to these License Terms. If you do not agree, you may not access or use the Products.

1. Grant of License

Subject to your compliance with these License Terms and ongoing payment of all applicable fees, Arcus Foundry grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Products you have purchased for the duration of your active subscription or license term.

2. Infrastructure Dependency

You acknowledge and agree that the Products are software-as-a-service offerings designed to operate in conjunction with Arcus Foundry's hosted infrastructure. Each Product requires periodic communication with the Activations service at activate.arcusfoundry.com to validate your active license. The Products are not designed for, and are not licensed for, self-hosting, on-premises deployment, or operation independently of Arcus Foundry's infrastructure, except as expressly authorized in a separate written agreement under Section 7 below.

3. License Tied to Payment

Your license to use any Product is contingent upon the ongoing payment of all fees associated with that Product. If your subscription lapses, is canceled, or terminates for any reason — whether by you, by Arcus Foundry, or as a result of non-payment, refund, or chargeback — your license to use the Product will end in accordance with Section 4 below.

4. Grace Period, Termination, and Data Export

Upon lapse, cancellation, refund, or termination of your subscription to a Product, the following will occur:

  • Seven-day grace period. The Product will continue to function for a grace period of seven (7) days from the effective date of termination. During this grace period, you may continue to access the Product and export your data through the Product's standard export functionality.
  • License deactivation. After the seven-day grace period, the Product's license check will no longer validate, and the Product will cease to function.
  • Post-termination data export. For a period of thirty (30) days following termination, you may request a one-time export of your data by contacting hello@arcusfoundry.com. After thirty (30) days, your data may be deleted from active systems and may no longer be recoverable, except as required by applicable law or as retained in routine backups subject to Arcus Foundry's standard backup rotation.

5. License Activation and Instance Binding

When you first activate a Product, your license key is bound to a specific client identifier (such as a Sparkforge instance ID, a GoHighLevel contact or location identifier, or another identifier issued by the Activations system). Once bound, the license key is locked to that client identifier and cannot be used on a different instance without first being released by Arcus Foundry. If you need to move a license to a different instance, contact hello@arcusfoundry.com.

6. Permitted and Prohibited Uses

You may use the Products only as expressly licensed under these License Terms. You may not, and may not permit or enable any third party to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of any Product, except to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction;
  • Circumvent, disable, bypass, tamper with, or interfere with any license check, activation mechanism, license validation call, instance binding, or other security or technical measure of any Product or the Activations system;
  • Sell, rent, lease, sublicense, distribute, share, publish, or otherwise transfer any Product, license key, or activation credential to any third party without the prior written consent of Arcus Foundry;
  • Use any Product to develop, train, or improve a product or service that competes with any Arcus Foundry Product;
  • Remove, obscure, or alter any proprietary notices, branding, or labels on or in any Product; or
  • Use any Product in violation of applicable law or in any manner not expressly permitted by these License Terms.

7. Perpetual, Source-Available, or Self-Hosted Licensing

Standard Product licenses are subscription-based and require ongoing validation through the Activations service. Perpetual, source-available, or self-hosted licensing arrangements may be available for qualifying enterprise engagements by separate written negotiation. Any such arrangement is offered solely at Arcus Foundry's discretion, may require minimum contract values, and is subject to fees and terms agreed in a separate written agreement signed by both parties. To inquire, contact hello@arcusfoundry.com.

8. Service Availability and the Activations System

Arcus Foundry uses commercially reasonable efforts to maintain the availability of the Activations service and the Products, but does not guarantee uninterrupted or error-free access. The seven-day grace period described in Section 4 is intended in part to ensure that brief, unintentional interruptions to the Activations service do not interfere with your use of the Products during a valid subscription term. Arcus Foundry reserves the right to perform scheduled maintenance, deploy updates, and modify the Activations system from time to time.

9. Suspension and Termination by Arcus Foundry

Arcus Foundry may suspend or terminate your license to any Product, with or without notice, if: (a) you breach these License Terms; (b) you fail to pay any fees when due; (c) your use of the Product creates a security, legal, or operational risk to Arcus Foundry or to other customers; or (d) Arcus Foundry is required to do so by law. Upon suspension or termination by Arcus Foundry, the grace period and data export provisions of Section 4 apply, except in cases of material breach involving fraud, security violations, or violation of Section 6, in which case Arcus Foundry may terminate immediately without a grace period.

10. No Warranty Regarding License Continuity

Nothing in these License Terms shall be construed as a guarantee of perpetual access to any Product. Your right to use a Product exists only for the duration of your active, paid subscription term, and is governed at all times by the validation status reported by the Activations system.

4. Consents

To the extent required by applicable Data Protection Laws, Customer is responsible for obtaining all necessary consents and rights to permit Arcus Foundry (and its Sub-processors) to Process Personal Data in accordance with the Agreement and this DPA. Arcus Foundry shall Process Personal Data only in accordance with documented instructions from Customer. The Agreement (including this DPA) constitutes Customer's complete and final instructions to Arcus Foundry in relation to the Processing of Personal Data. Any additional or alternate instructions must be agreed upon separately in writing.

If Arcus Foundry is required by applicable law to Process Personal Data other than as instructed by Customer, Arcus Foundry will inform Customer of this requirement before Processing, unless prohibited by law from doing so.

7. Arcus Foundry Obligations

Arcus Foundry shall:

  1. Confidentiality. Ensure that persons authorized to Process Personal Data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality.
  2. Security. Implement and maintain appropriate technical and organizational measures designed to protect Personal Data from unauthorized or unlawful Processing and against accidental loss, destruction, damage, theft, or disclosure. These measures shall be appropriate to the harm that might result from such unauthorized or unlawful Processing or accidental loss, destruction, or damage, the nature of the Personal Data to be protected, and the state of the art and cost of implementing the measures. Such measures are described in Annex B.
  3. Sub-processing. Not engage any Sub-processor to Process Personal Data without the prior written consent of Customer, except as provided in Section 9 below.
  4. Data Subject Rights. 5. Assistance. Provide reasonable assistance to Customer in ensuring compliance with the obligations pursuant to Articles 32 to 36 of the GDPR (or equivalent provisions under other applicable Data Protection Laws), taking into account the nature of the Processing and the information available to Arcus Foundry.
  6. Deletion / Return. Upon termination or expiration of the Agreement, at the choice of Customer, delete or return all Personal Data to Customer, and delete existing copies unless applicable law requires storage of the Personal Data. Customer acknowledges that Arcus Foundry may retain Personal Data in backup archives that are not reasonably accessible to Arcus Foundry, and that Arcus Foundry may retain Personal Data to the extent required by applicable law, in each case subject to Arcus Foundry's obligation of confidentiality and the protections set forth in this DPA.

Make available to Customer all information reasonably necessary to demonstrate compliance with the obligations laid down in this DPA, and allow for and contribute to audits, including inspections, conducted by Customer or an auditor mandated by Customer, subject to reasonable advance notice, scope limitations, and confidentiality obligations. Arcus Foundry may object to an auditor appointed by Customer if the auditor is, in Arcus Foundry's reasonable opinion, not suitably qualified or independent, a competitor of Arcus Foundry, or otherwise manifestly unsuitable. Any such audits shall be at Customer's sole expense.

9. Sub-processors

Customer acknowledges and agrees that Arcus Foundry may engage Sub-processors to Process Personal Data on Customer's behalf. The Sub-processors currently engaged by Arcus Foundry and authorized by Customer are listed in Annex C.

Arcus Foundry shall (i) enter into a written agreement with each Sub-processor imposing data protection obligations no less protective than those set out in this DPA; and (ii) remain responsible for each Sub-processor's compliance with the obligations of this DPA and for any acts or omissions of such Sub-processor that cause Arcus Foundry to breach any of its obligations under this DPA.

Arcus Foundry shall notify Customer of any intended changes concerning the addition or replacement of Sub-processors, giving Customer the opportunity to object to such changes. If Customer objects to a new Sub-processor on reasonable grounds relating to data protection, Arcus Foundry shall use commercially reasonable efforts to make available to Customer a change in the Services or recommend a commercially reasonable change to Customer's configuration or use of the Services to avoid Processing of Personal Data by the objected-to new Sub-processor. If Arcus Foundry is unable to make available such change within a reasonable period of time, either party may terminate the applicable order form(s) with respect only to those Services which cannot be provided without the use of the objected-to new Sub-processor.
